By downloading, installing, activating, or using FootagePipeline software ("Software") or accessing the FootagePipeline website at footagepipeline.com ("Website"), you ("User", "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not install or use the Software.
These Terms form a legally binding agreement between you and FootagePipelineSoftware.com ("Company", "we", "us", "our"), a company registered in Las Vegas, NV.
Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, limited license to install and use the Software on a specified number of machines as defined by your license tier.

The Software requires a valid license key for activation. License keys are issued per purchase or as otherwise agreed in writing.
You are responsible for keeping your license key confidential. We reserve the right to deactivate license keys that we reasonably believe have been shared, published, or used in violation of these Terms, without refund.
The Software may record which application version validated against your license key for support and compatibility purposes. This information is limited to version identifiers and does not include your project data or media files.
License validation may require an internet connection at activation. Some functionality may require periodic online validation.
Certain features of the Software use the Anthropic Claude API ("AI Features"). Use of AI Features requires your own valid Anthropic API key, acceptance of Anthropic's Terms of Service and Usage Policy, and payment of API usage costs directly to Anthropic. We are not responsible for the availability, accuracy, or output of the Anthropic API, any changes to Anthropic's pricing or API terms, or interruptions to AI Features caused by Anthropic service outages.
AI-generated story proposals, editorial suggestions, marker placements, and other AI outputs are provided as creative assistance tools only. You are solely responsible for reviewing, approving, and making all final editorial decisions. AI outputs may be inaccurate, incomplete, or unsuitable for your project. We make no warranty as to the accuracy, fitness, or originality of any AI-generated content.
When you use AI Features, portions of your footage catalog metadata (clip names, timecodes, transcript text, and similar descriptive data) are transmitted to Anthropic's servers for processing. Raw media files are never transmitted. By using AI Features, you confirm you have the right to submit this data for processing and accept Anthropic's privacy practices in respect of that data.
The Software is designed to integrate with Blackmagic Design DaVinci Resolve. Use of DaVinci Resolve is subject to Blackmagic Design's separate terms and license. We are not affiliated with Blackmagic Design and make no warranty regarding DaVinci Resolve compatibility beyond the versions stated in our documentation.
You retain all rights to your footage, projects, transcripts, and any other content you process using the Software ("Your Content"). We claim no ownership over Your Content.
You represent and warrant that you own or have the necessary rights, licenses, and permissions to use all media files processed through the Software, and that your use of the Software does not infringe any third-party intellectual property rights, privacy rights, or applicable laws.
The Software processes Your Content locally on your machine. We do not store, access, or retain your media files or project data on our servers, except as described in Section 4.3 regarding AI Features.
The Software, including its source code, design, structure, and documentation, is owned by us and protected by copyright, trade secret, and other intellectual property laws. These Terms do not transfer any intellectual property rights to you. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
We may release updates, patches, and new versions of the Software. Updates may be required to maintain license validity or access to certain features. Support is provided according to the terms of your license tier as described on our website. We reserve the right to discontinue the Software or any feature at any time with reasonable notice where practicable.
License fees are as published on our Website at the time of purchase. We reserve the right to change pricing with notice. Digital licenses that have been activated are generally non-refundable unless required by applicable consumer protection law. You are responsible for all applicable taxes, duties, and levies arising from your purchase, except where we are required by law to collect and remit them.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.
We make no warranty that the Software will produce accurate transcripts, correctly classify footage, generate suitable editorial proposals, or produce timelines that meet your professional requirements. All outputs should be reviewed by a qualified editor before use.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
We strongly recommend maintaining backups of all source media files and project data. We are not liable for any loss, corruption, or damage to media files or project data arising from use of the Software.
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your use of the Software in violation of these Terms, Your Content, your violation of any third-party rights, or your violation of applicable law.
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
These Terms are effective from the date you first use the Software. You may terminate at any time by ceasing use and deleting all copies. We may suspend or terminate your license immediately if you breach these Terms, fail to pay applicable fees, or engage in conduct harmful to us or other users. Upon termination, your license ends immediately. Sections 6, 9, 10, and 13 survive termination.
These Terms are governed by the laws of Las Vegas, NV, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of Las Vegas, NV.
These Terms, together with the Privacy Policy and any order confirmation, constitute the entire agreement between you and us regarding the Software and supersede all prior agreements.
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
We may update these Terms from time to time. We will notify you of material changes via email or a notice within the Software. Continued use of the Software after the effective date of changes constitutes acceptance of the revised Terms.
